This contract is between CopperWeb Solutions (CopperWeb) and you (the client).

It would be the responsibility of the client to ensure that all contents supplied to CopperWeb are legally permitted for use. Any restrictions on use or necessary copyright notices are to be notified to CopperWeb, and CopperWeb accept no liability for breach of copyright or other intellectual rights on the data supplied by client.

 

Accuracy

1.) CopperWeb will involve efforts to include the latest and most accurate information in this website. However, CopperWeb make no guarantees or representations as to its accuracy and we assume no liability or responsibility for any errors or omissions in the content of this website. Client acknowledges that websites are not guaranteed to be error free and fully secure, and acknowledges that the existence of errors or omissions shall not be constituted as a reason to terminate the agreement.

 

Cost and Payment

Web Designs

1.) Once quotation is confirmed by client, additional features or functions that are not stated in quotation will incur extra charges. In addition, extra charges will be imposed if changes are required by client after the web design is confirmed.

2.) Website drafts will be created, based on the design brief and information provided by the Client. If the brief changes after the first draft has been created which result in a complete redesign then an additional charge of RM150 per day will be applied. If feedback is not received within 30 days of supplying the initial draft, CopperWeb reserve the right to permanently delete the site from our hosted server and no refund will be payable.

3.) If we request more information and do not receive a reply for a period of 30 days we reserve the right to permanently delete the site from our hosted server and no refund will be payable.

4.) If a client decided they no longer want the site once they have commissioned the work, they are still obliged to pay for all work that has been done. Non-payment will result in legal action being taken if necessary.

5.) Client is required to make deposit of 50% of the total cost to trigger the commencement of the project. Once CopperWeb have completed the project, client is required to make the full payment within 10 business days. CopperWeb reserve the right to make the website non-available if client failed to make the payment within the stipulated time.

6.) Invoices are due for payment within 10 business days. CopperWeb retain the right to take down or suspend a website and cease email forwarding if payment is not made within these terms. The suspension or removal of a website does not in any way restrict CopperWeb from any further actions to recover outstanding payments.

Artwork Designs

1.) As for the various artwork design services we provide, drafts will be created, based on the design brief and information provided by the Client. If the brief changes after the first draft has been created which result in a complete redesign then an additional charge of RM100 per day will be applied. If feedback is not received within 30 days of supplying the initial draft, CopperWeb reserve the right to permanently drop the project and no refund will be payable.

Project Completion and Schedule

1.) The duration of the project will be defined in the quotation or schedule supplied. Extensions to this time frame caused by non-completion of agreed task(s) or non-delivery of materials by client as specified in the said schedule may result in additional charges by CopperWeb.

2.) During the project execution, CopperWeb will require client to provide information or images. If the content is not provided within four weeks of an official request by email, CopperWeb reserve the right to advise the client of a revision on the cost based on the new project schedule. If the content required is not provided within eight weeks from the initial email request, the client is considered to be in default of the project, the project will be terminated and any payment made will be non-refundable. However, the project may recommence based on a new quotation.

3.) CopperWeb consider the project to be complete one week after the website or the web application goes fully online. In terms of Availability of Service, CopperWeb will try to make its service available 24 hours a day, as long as you have paid for them. However, said services may be unavailable to you for a number of reasons. Client acknowledges that due to the nature of web hosting technology, the occasional interruption of services is unavoidable. CopperWeb do not promise and make no guarantee that our hosting service will be uninterrupted all the time.

 

Web Hosting and Renewal

1.) CopperWeb take no responsibility for delays or down times, breakdowns or data loss caused by Internet Service Providers (ISPs).

2.) CopperWeb are not liable for any set-up costs involved with code running on servers that are not controlled by CopperWeb.

3.) CopperWeb will not automatically renew client’s account and signed up services after its expiration date. We will send out email notification to customers 30 days before the service expiration date. Client needs to provide confirmation on the renewal, failure to do so may result in termination and disruption of related service.

 

Domain

1.) All domain names will be registered in the clients name and as such the domain name belongs to the client, not to CopperWeb.

2.) We will send out email notification to customers 30 days before the domain expiration date. Client needs to provide confirmation on the renewal, failure to do so may result in termination and disruption of related service. If the client does not renew the domain(s), the domain(s) will expire and will be available for general sale. No cash alternative is available for customers who purchase their own domain name(s).

3.) CopperWeb exclude liability for any loss of profit caused to the client by the expiration of the domain name as a result of a technical fault or any other fault caused by any third party.

4.) CopperWeb exclude liability for any loss of profit caused to the client by the expiration of the domain name as a result of a technical fault of any other fault caused by the negligence of the site host.

 

Search Engine Optimization (SEO)

1.) CopperWeb will introduce your website to search engines but we cannot guarantee the ranking of your website on any search engine. Due to external factors, we cannot offer any guarantees regarding the search engine position that we will achieve for websites. We cannot accept liability for any change in rankings, or drop off in the position of your website due to changes in the algorithms of the search engines or the factors that they use to rank websites.

 

Additional Rights

1.) CopperWeb reserve the right to include a screenshot of, and link to your completed website on the portfolio page of our website and on any of our social media accounts.

2.) CopperWeb retain the rights to all codes, designs and functionalities of the websites that we create. We may reuse any code, design, or functionality from your site on another site.

3.) CopperWeb reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or controversial. We also reserve the right to refuse to handle any site found to be involved in any black hat or “spammy” search engine optimization techniques. Should any of these situations arise we reserve the right to terminate your web hosting service without notice and you would not be due a refund.

4.) CopperWeb Design reserve the right to amend the Terms and Conditions at any time.

 

Credit

1.) All websites will show the text “Web designed by CopperWeb” (or something similar) at the base of each web page. This text can be omitted at a cost of RM5,000 per site. CopperWeb reserve the right to reinstate this and remove your administrative rights, should this be removed without our permission. No other marketing company or consultant is allowed to have any attribution to the website design. CopperWeb reserve the right to remove this and remove your administrative rights should this be added to the site.

Website Maintenance & Management

1.) Should the client chose the option of having administrative rights to their website, the client will be able to make changes to their own site and amend content. CopperWeb do not accept responsibility for any changes that the client make to their site. Any advice on updating their site, or rectifying any changes the client have made will be charged at the daily rate of RM150 per day.

2.) By entering into a contract with CopperWeb Website Maintenance & Management services , the client asserts that they have read and are aware of the following statement:

a.) Website Maintenance & Management services by CopperWeb are annual (12 month) agreements.

b.) Monthly Website Maintenance & Management fees may be paid with bank transfer, cheque or money order.

c.) Website maintenance & management fees will be charged to the clients on the 1st or 15th day of every month.

d.) Website maintenance & management fees will be prorated for new clients that sign up in the middle of a given month.

e.) After the initial 12 months, the client may terminate this agreement without paying any additional fees with 30 days written notice.

f.) CopperWeb may terminate this agreement at any time with written notice to the client.

g.) There are absolutely no refunds for any fee related to website maintenance and management services.

h.) When adding new text and/or content to a page, the client is responsible for providing all text (in digital format) and images/photos.

i.) There is no roll-over for any website maintenance plan services.

j.) “Update turnaround time” is based on item updates. Advanced programming may result in longer turnaround times.

Suspension of Service

1.) CopperWeb reserve the right to suspend service in any case where client fails to perform its obligations under the agreement. CopperWeb take no responsibility for any loss of data incurred due to the removal of service.

2.) If payment for service is not received with the term of payment, the client’s website and other services may be taken down until full payment has been received.

 

Cancellation and Refund

1.) Agreement may be terminated at any time by the client, provided such termination is notified in writing. The client will agree to pay all amounts due under the terms of agreement up to the agreed termination date within 30 days.
